This document is part of the VesEvi Version 1.0 legal documentation package, effective August 1, 2026. It reflects the VesEvi platform as implemented, using docs/platform/VesEvi-Version-1-Product-Book.md as the source of truth for product capability. It uses conservative, industry-standard language appropriate for an early-stage software company; as with any company's policies, periodic legal review is expected as VesEvi grows, and future revisions will be published as Version 1.1, Version 2.0, and so on.
1. Purpose
These Terms of Service ("Terms") govern access to and use of VesEvi, a platform for capturing, reviewing, and comparing structured evidence of the condition of vehicles, residential rental properties, and other supported assets ("the Service"), operated by Vespaan Corporation ("VesEvi," "we," "us," or "our"). By creating an account or otherwise using the Service, you ("you," "User") agree to these Terms.
2. Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Service. By using the Service, you represent that you meet this requirement and that you have the legal authority to enter into these Terms, whether on your own behalf or on behalf of an organization you represent (a "Company" or "Business" workspace, as further described in the Service).
3. Accounts
You must register for an account to use most features of the Service. You agree to provide accurate registration information and to keep your credentials confidential. You are responsible for all activity that occurs under your account. Notify us promptly if you suspect unauthorized use of your account.
Accounts may be created individually (a Personal workspace) or as part of an organization (a Business workspace). Where you act within a Business workspace, your organization's administrator(s) may have visibility into, and administrative control over, inspections and assets created within that workspace, consistent with the role assigned to you.
4. User Responsibilities
You agree to:
- Use the Service only for its intended purpose of documenting the actual, observed condition of real assets you have a legitimate relationship to (as an owner, renter, operator, or similar).
- Provide accurate information when creating assets, inspections, and related records.
- Not misrepresent the condition of an asset, the identity of an asset, or your relationship to an asset.
- Comply with the Acceptable Use Policy and, where applicable, the Community Guidelines.
- Comply with applicable law, including any law governing the vehicle or property you are inspecting.
5. Inspections
The Service allows you to create structured inspection records for a supported asset, capture evidence during that inspection, and submit the inspection once evidence capture is complete. Once submitted, an inspection's evidence set becomes immutable — it cannot be edited, and the inspection cannot be "reopened" or un-submitted. Before submission, you may delete and re-capture evidence, but the Service does not support trimming, cropping, splicing, filtering, or otherwise editing previously captured video or photo evidence. 6. Evidence Ownership
As between you and VesEvi, you retain ownership of the video, photographs, and other evidence you capture through the Service, subject to the license granted below. By submitting evidence through the Service, you grant VesEvi a non-exclusive, worldwide, royalty-free license to host, store, process, analyze (including through AI-assisted analysis), reproduce, and display that evidence solely as necessary to operate, maintain, and provide the Service to you and to any party you authorize to view it (including, where you separately elect, the Worldwide History feature described below).
If you submit evidence or inspection content, you represent that you have the right to do so, including any necessary rights or consents from other people who may appear in or be identifiable from that content.
7. Worldwide History
Worldwide History is an optional, separate feature that lets you choose to share a redacted, reviewed version of a submitted inspection publicly, discoverable without an account. Sharing to Worldwide History is never automatic — it requires your explicit consent, a review step, and your confirmation of exactly what will be made public before publication occurs. You may withdraw a shared record at any time; withdrawal removes it from public visibility, though underlying data is retained by VesEvi as described in the Data Retention Policy. Full detail is in the Worldwide History Policy.
Sharing to Worldwide History does not change the private visibility settings of the original inspection in your workspace; it creates a separate, additional public record governed by its own consent process.
8. Asset Timeline
The Service maintains an Asset Timeline — a chronological record of significant events for an asset (such as its first recorded inspection, and confirmed changes in condition identified through comparison of inspections) — visible to you according to your authorization to view that asset. A separate, public version of an asset's timeline may exist within Worldwide History for assets with published records. VesEvi does not represent that any Asset Timeline is complete or that it captures every event in an asset's history; it reflects only the inspections and comparisons actually recorded through the Service.
9. Community Contributions
Where you contribute content intended to be seen by other users or the public — including inspection notes, findings, or a Worldwide History submission — you agree to follow the Community Guidelines and Acceptable Use Policy, including describing the condition of the asset rather than including information about people. VesEvi may screen, delay, decline, or remove community contributions consistent with the Content Moderation Policy.
10. Artificial Intelligence
The Service uses AI to assist in identifying potential findings (such as areas of possible damage) from captured evidence. AI-generated findings are always subject to human review before being treated as confirmed. AI assists human decision-making; it does not replace it, and VesEvi does not guarantee that AI-assisted analysis is accurate, complete, or free of error. 11. Prohibited Conduct
You agree not to use the Service to: submit false, fabricated, or knowingly misleading inspection or asset data; commit or facilitate fraud; harass, threaten, or reveal private information about any person; upload illegal content or malware; interfere with or attempt to bypass the Service's security, authorization, or content-moderation controls; scrape, spam, or abuse the Service through automated means outside of any officially supported integration; or otherwise violate the Acceptable Use Policy, which is incorporated into these Terms by reference.
12. Intellectual Property
The Service, including its software, design, and documentation, is owned by VesEvi and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you to use the Service and the license you grant us under Section 6, no other rights are transferred to you. VesEvi's trademarks, including "VesEvi," may not be used without prior written permission, except as necessary to accurately describe your use of the Service.
13. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, the Acceptable Use Policy, or applicable law, or where necessary to protect the Service, other users, or third parties. Termination does not relieve you of obligations that accrued before termination, and certain data may be retained after termination as described in the Data Retention Policy, including previously published Worldwide History records that were shared with the required consent and have not been separately withdrawn.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VesEvi does not warrant that the Service will be uninterrupted, error-free, or completely secure, that AI-assisted findings will be accurate or complete, or that any inspection, comparison, report, or Worldwide History record is a complete or legally conclusive record of an asset's condition or history.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VESEVI AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. VESEVI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID VESEVI, IF ANY, IN THE TWELVE MONTHS PRECEDING THE CLAIM. This limitation is subject to applicable law and may not apply in jurisdictions that do not permit certain limitations of liability.
16. Indemnification
You agree to indemnify and hold harmless VesEvi and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of applicable law, or your infringement of any third party's rights, including rights of any person identifiable in evidence you submit.
17. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Massachusetts, United States, without regard to its conflict-of-laws principles. Any dispute arising from or relating to these Terms or the Service will be resolved in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of those courts.
18. Changes to These Terms
We may update these Terms from time to time. Where changes are material, we will provide reasonable notice (such as through the Service or by email) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
